Tinjauan Pendirian Perseroan Perorangan Berdasarkan Perundang-Undangan Indonesia
ABSTRACT
A sole proprietorship is a legal entity structured in a manner akin to a
corporation. However, there exists a notable lack of legal synchronization in the
regulations governing sole proprietorships, particularly regarding their formation
and essential elements. This discrepancy is evident within the legal hierarchy, both
vertically and horizontally. Such inconsistencies can result in misunderstandings
about the definition of a corporation, both in general and specific contexts. The
purpose of this study is to analyze the forms and components involved in
establishing a sole proprietorship.
The research methodology employed in this study is normative, involving a
thorough examination of relevant laws across various levels of the hierarchy that
regulate corporations, with the aim of identifying existing legal inconsistencies.
This research incorporates primary and secondary legal data, along with tertiary
legal materials to support its findings.
The results reveal a significant lack of legal synchronization in Indonesia
concerning the various regulations governing sole proprietorships. Inconsistencies
can be identified in the definition of a business, the elements that constitute a
company, and the requirements for establishing one. Therefore, it is imperative for
the government to review and refine the regulations pertaining to individual
companies in Indonesia to achieve legal synchronization. The overarching goal of
ensuring legal harmonization is to promote the consistent application of Indonesian
law across different regulatory levels.
