This research aims to analyze the effect of financial distress, non debt tax shield to firm financial performance with capital structure as an intervening variable. The population in this study were company manufacturing consumer goods industry sectors listing in Indonesia Stock Exchange period 2009-2014 with the population total 38 firms.The sample were taken using purposive sampling method. Type and data source in this study is secondary from firm financial report. Analysis method which applied in this research are multiple regression and path analysis. SPSS version 22.00 as the software for processing data. The result of this research showed that the Financial Distress have significant negative effect on capital structure. Non debt tax shield have significant negative effect on capital structure. Financial distress have significant effect on financial performance by capital structure. Non debt tax shield does not effect and no significant on financial performance by capital structure. Capital structure have significant effect on financial performance.
