Tinjauan Yuridis Tentang Kedudukan Persekutuan Komanditer (Cv) Berdasarkan Permenkumham No 17 Tahun 2018 Tentang Pendaftaran Persekutuan Komanditer, Persekutuan Firma Dan Persekutuan Perdata
ABSTRACT
The existence of limited partnership (CV) in a cross-business has been
known to the wider community, especially entrepreneurs as a form of business
entity. Limited partnerships themselves are not specifically regulated as is the
case with other partnerships. Based on Article 22 of the KUHD, CV is established
by using a notarial deed. Then Article 23 of the KUHD states that in essence the
Notary deed is then registered with the local District Court where the CV is
located. Previously, the registration of limited partnerships, firm partnerships,
and civil partnerships was carried out through the courts, dated August 1, 2018,
the Minister of Law and Human Rights Regulation No. 17 of 2018 concerning
Registration of Limited Partnerships, Firm Partnerships, and Civil Partnerships
came into effect, which the public will register must be done through the
Administration of Business Entities ( SABU) at the Directorate of General Legal
Administration (AHU).
This type of research can be classified into normative legal research,
namely research conducted by examining primary and secondary legal materials.
This study uses data sources in the form of primary data, secondary data, and
tertiary data, and data collection techniques are carried out by collecting data
through reading books, literatures, and websites that have a correlation with the
problems being studied.
From the results of the research problem there are two main things that can
be concluded. First, the legal position of the Limited Partnership Business Entity
(CV) in terms of the duties and responsibilities of the partners, both limited and
complementary, remains the same before and after the issuance of
Permenkumham No. 17 of 2018. Second, as a legal consequence of legal actions
of limited partnership against third parties after the decision of the Regulation
The Minister of Law and Human Rights of the Republic of Indonesia which
regulates the registration of limited partnership, firm partnership, and civil
partnership without any sanctions and a limited partnership remains valid. The
author's suggestion is that the first draft law on Non-Legal Business Entities
should be passed into law as a legal umbrella for the implementation of the
establishment of limited partnerships that apply in Indonesia in place of the
Minister of Law and Human Rights Regulation Number 17 of 2018. Second, active
partners must follow the regulations in order to create administrative order
regarding the registration of establishments and changes to limited partnerships
in the SABU database.
