ABSTRACT
According to Article 1 Paragraph 1 of Law Number 40 of 2007 concerning Limited Liability Companies, a company is a legal entity which is a capital partnership, established based on an agreement, conducting business activities with authorized capital which is entirely divided into shares and fulfills the requirements stipulated in this law. and implementing regulations. The Company has three organs, namely the GMS, the Board of Commissioners, and the Board of Directors. The Board of Directors is a company organ that has the authority to represent the Company. In practice, this authority is used by the Board of Directors for their personal interests who make credit loans to the Bank on behalf of the Company. Currently the Bank and the Company ask the directors to be responsible for the losses incurred by the Bank. The purpose of writing this thesis First is to find out the responsibilities of the President director of PT. Bintang Sejahtera to credit at PT. Bank Rakyat Indonesia (Persero) Tbk, without the approval of the Commissioner, Second, to find out the legal consequences for the actions of the President Director of PT. Bintang Sejahtera to credit at PT. Bank Rakyat Indonesia (Persero) Tbk without the approval of the Commissioner.
This type of research is a sociological juridical research, because the author directly conducts research at the location or place of research in order to provide a complete and clear picture of the problem being studied. The research location of PT. Bank Rakyat Indonesia (Persero), Tbk Branch Lancang Kuning Pekanbaru, and PT. Bintang Sejahtera is domiciled in Indragiri Hulu. Sources of data used are primary and secondary data, data collection techniques in this study by interviews, questionnaires, literature review, and data analysis.
The results of this study are the responsibility of the President Director of PT. Bintang Sejahtera to credit at PT. Bank Rakyat Indonesia (Persero) Tbk, without the approval of the commissioner is a personal responsibility and compensates for all material and non-material losses, Second, the legal consequences for the actions of the President Director of PT. Bintang Sejahtera to credit at PT. Bank Rakyat Indonesia (Persero) Tbk, without the approval of the commissioner is compensation.
