ABSTRACT
This study examines the legal liability of a Limited Liability Company (PT) regarding the use of an individual’s personal assets as collateral for corporate debt. The research is motivated by the case of PT Global Inspekindo Utama, which obtained financing from a bank by pledging personal assets belonging to an individual outside the company’s structure. Problems arose when the company failed to meet its payment obligations, resulting in the execution of the personal assets by the bank. The issues addressed in this research are: (1) How is the legal responsibility of PT Global Inspekindo Utama toward the personal assets used as collateral for the company’s debt? (2) How can disputes be resolved for owners of personal assets that are pledged as collateral for the company’s obligations?.
The purpose of this study is to determine the extent of the company’s responsibility toward individual collateral providers and to identify mechanisms for dispute resolution in cases of default. This research employs a sociological or empirical legal research method, relying on primary data obtained directly from the community. The research is descriptive in nature, aiming to provide an accurate and detailed portrayal of individuals, conditions, and various phenomena, particularly regarding the use of personal property as collateral for corporate debt. The author provides a detailed explanation of the background, processes, and legal consequences of the case.
The study reveals a gap between normative law and actual practice, demonstrated by the inconsistency between legal provisions and the conduct of the company’s president director, who failed to fulfill financing obligations owed to the bank. Normatively, laws such as Law No. 40 of 2007 concerning Limited Liability Companies clearly stipulate that the Board of Directors is obligated to manage the company in the interest of the company and in accordance with its purposes and objectives. Findings at PT Global Inspekindo Utama indicate that the President Director did not carry out his authority and responsibilities as the person in charge of the company. Contributing factors include weak management and internal controls, leading to improper use of funds and eventual default.
This research emphasizes the importance of strengthening corporate governance practices, ensuring adequate transparency and financial reporting, upholding the duty of good faith, improving risk assessment by creditors, and prioritizing non-litigation dispute resolution before resorting to litigation.
